Terms and Conditions for EU Customers
We are pleased that you are interested in our products. These Terms and Conditions explain the rights and obligations that apply when you purchase products from Better Nutrition ApS for your personal use through our Website.
Please read these Terms and Conditions carefully before placing an order.
Better Nutrition ApS is a private limited company incorporated under the laws of Denmark with company registration number (CVR) 46001044 ("Better Nutrition", "we", "us" or "our", as the context may require). Better Nutrition ApS markets and sells products under the Sanuray brand through www.sanuray.com (the "Website").
1. General
1.1
These Terms and Conditions (the "Terms") apply between Better Nutrition and you as a customer ("you") when you access and use the Website, including, without limitation, when you purchase products through the Website. These Terms may be amended by us from time to time. Any amendments will apply only to orders placed after the updated Terms have been published on the Website.
1.2
By accessing the Website and placing an order, you agree to be bound by these Terms.
1.3
You may not order or obtain products from the Website if you:
(a) do not agree to these Terms;
(b) are under eighteen (18) years of age or otherwise lack the legal capacity to enter into a binding agreement;
(c) purchase products for resale or other commercial purposes without our prior written consent; or
(d) are prohibited under applicable law from accessing or using the Website or purchasing the products.
1.4
By accepting these Terms, you acknowledge that all purchases made through the Website are entered into exclusively between you and Better Nutrition ApS.
1.5
By placing an order, you confirm that all information you provide to us is accurate, complete and up to date. You are responsible for ensuring that your contact details and delivery information remain correct.
1.6
Our collection, use and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. You should carefully review our Privacy Policy before placing an order through the Website.
2. Order, Order Confirmation and Refund
2.1
Your order constitutes an offer to purchase the products selected through the Website in accordance with these Terms. We reserve the right, at our sole discretion, to accept or reject any order.
2.2
To place an order, you must complete the checkout process by selecting the products you wish to purchase, providing the required contact and delivery information, selecting an available delivery method and completing payment using one of the payment methods offered on the Website.
Your order is considered submitted once you have completed the checkout process and your payment has been authorised.
2.3
After receiving your order, we will send an acknowledgement confirming that your order has been received. This acknowledgement does not constitute acceptance of your order.
If additional information is required to process your order, or if we are unable to fulfil it, we may contact you using the contact information you have provided.
2.4
A binding sales agreement is concluded only when we send you an Order Confirmation by email.
Until you receive the Order Confirmation, you may withdraw your order. Any payment received for a withdrawn or rejected order will be refunded using the original payment method.
2.5
All orders are subject to product availability.
If a product becomes unavailable after an order has been placed, we reserve the right to cancel all or part of the order. Where this occurs, we will notify you without undue delay and refund any payment relating to the unavailable products.

3. Payment & Fees
3.1
Payment must be completed before an order can be accepted.
3.2
Payment may be made using the payment methods made available during checkout. Available payment methods may change from time to time without prior notice.
Payment transactions are processed securely by authorised third-party payment service providers.
3.3
All prices displayed on the Website include applicable VAT.
Shipping charges, where applicable, are displayed separately during the checkout process before you complete your purchase.
We reserve the right to change prices at any time. Price changes will not affect orders that have already been confirmed.
3.4
Where products purchased using a promotional discount are returned, any refund will be limited to the amount actually paid for the products.
3.5
Unless otherwise stated, any additional charges arising from currency conversion by your bank or payment provider are your responsibility.
4. Shipping and Time of Delivery
4.1
Estimated delivery times are displayed during checkout and confirmed in your Order Confirmation. Delivery times are estimates only and should not be regarded as guaranteed delivery dates.
We may contact you by email or telephone regarding the status of your delivery where necessary.
4.2
Upon delivery, you should inspect the package and products without undue delay to verify that the delivery is complete and that no visible transport damage has occurred.
If you receive incorrect, damaged or incomplete products, please notify us as soon as reasonably practicable in accordance with Section 7.
4.3
If delivery is delayed, we will endeavour to keep you informed.
If delivery is significantly delayed for reasons within our control, you may have the rights available under applicable consumer protection legislation, including the right to cancel your order where permitted by law.
4.4
Where delivery is made to a collection point, you are responsible for collecting the shipment within the collection period specified by the carrier.
If the shipment is not collected and is returned to us, we reserve the right to charge you the direct costs incurred in returning the shipment where permitted by applicable law.
4.5
If delivery cannot be completed due to incorrect or incomplete information provided by you, or because you fail to accept delivery, we reserve the right to cancel the order after the shipment has been returned to us.
Any refund will be reduced by the direct costs incurred in connection with the failed delivery and return, where permitted by applicable law.
5. Special Offers
5.1
From time to time, Better Nutrition may offer promotional campaigns or special offers on selected products. Any such offer will apply only during the period specified or while stocks last.
Unless otherwise expressly stated, promotional offers cannot be combined with other promotions or discounts.
Better Nutrition reserves the right to amend or withdraw any promotional offer at any time. Such amendment or withdrawal will not affect orders that have already been confirmed.
6. Return & Refund Policy
6.1
Except where otherwise provided by applicable law or where products are expressly excluded from the right of withdrawal, you have the right to withdraw from your purchase within fourteen (14) days from the day on which you, or a third party designated by you, receives the products.
To exercise your right of withdrawal, you must notify Better Nutrition by email at support@sanuray.com before the withdrawal period expires.
6.2
Your notice of withdrawal should include:

your order number;

your name and contact information; and

the product or products you wish to return.
Following receipt of your request, we will provide you with instructions regarding the return of the products.
6.3
The products must be returned without undue delay and no later than fourteen (14) days after you have informed us that you wish to withdraw from the purchase.
Unless otherwise required by applicable law, you are responsible for the direct cost of returning the products.
Products must be returned unused, unopened, in their original packaging and with any seals intact.
6.4
You are responsible for any diminished value of the products resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.
Where returned products have been opened, used or damaged, Better Nutrition reserves the right to reduce the refund accordingly or refuse the return where permitted by applicable law.
6.5
The right of withdrawal does not apply to sealed food supplements or other sealed products that are not suitable for return for reasons of health protection or hygiene once they have been unsealed after delivery.
6.6
Where you validly exercise your right of withdrawal, Better Nutrition will reimburse all payments received for the returned products, including the original standard delivery costs where required by applicable law.
Refunds will be made using the same payment method used for the original purchase, unless otherwise agreed.
The refund will be processed without undue delay and no later than fourteen (14) days after we have received the returned products or satisfactory evidence that they have been returned.
7. Complaints
7.1
If you believe that a product is defective, damaged or otherwise does not conform to your order, you should notify Better Nutrition as soon as reasonably practicable after discovering the issue.
7.2
Your complaint should include:

the order number;

your name and contact information;

a description of the product concerned; and
-
a description of the defect or issue.
We may request photographs or additional information in order to assess the complaint.
7.3
Complaints should be submitted by email to support@sanuray.com.
Upon receipt of your complaint, we will acknowledge receipt and inform you of the next steps.
Where appropriate, we may ask you to return the product for inspection before determining the appropriate remedy.
7.4
Defective products will be remedied in accordance with these Terms and any mandatory consumer protection legislation applicable to your purchase.
Our responsibility for defects is limited to the product's stated shelf life. We reserve the right, at our sole discretion and subject to applicable law, to determine the appropriate remedy for a valid complaint. Such remedy may include replacing the defective product or refunding the purchase price paid for the affected product(s).
Where a defective product is returned in accordance with our instructions, Better Nutrition will reimburse any reasonable return shipping costs where required by applicable law.
Any refund will be made using the same payment method used for the original purchase, unless otherwise agreed.
7.5
Nothing in these Terms limits or excludes any statutory rights available to consumers under applicable law.
8. Use of the Website
8.1
You agree to access and use the Website only for lawful purposes and in accordance with these Terms.
You may not use the Website in any manner that could damage, disable, overburden or impair the Website or interfere with any other person's use of the Website.
8.2
If you create an account on the Website, you are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your account.
You must notify Better Nutrition immediately if you suspect any unauthorised access to or use of your account.
8.3
Without our prior written consent, you may not:
(a) reproduce, copy or commercially exploit any part of the Website;
(b) use automated tools, bots, crawlers, scrapers or similar technologies to access, collect or extract data from the Website;
(c) interfere with or attempt to circumvent any security measures implemented on the Website;
(d) use the Website in any manner contrary to applicable law.
8.4
Better Nutrition reserves the right to modify, suspend or discontinue all or part of the Website at any time without prior notice.
9. Use of Data
9.1
In order to process your orders and provide our services, Better Nutrition collects and processes personal data in accordance with our Privacy Policy.
Our Privacy Policy explains what information we collect, how we use it, how long we retain it and your rights under applicable data protection legislation.
10. Limitation of Liability
10.1
Our liability to you is governed by applicable consumer protection legislation.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.
10.2
Subject to applicable law, Better Nutrition shall not be liable for indirect, incidental or consequential losses, including loss of profit, loss of business, loss of revenue or loss of anticipated savings.
10.3
The information published on the Website is provided for general informational purposes only.
Although we make reasonable efforts to ensure that the information published on the Website is accurate and up to date, Better Nutrition does not warrant that all content is complete, accurate or free from errors.
Nothing contained on the Website constitutes medical advice or is intended to replace advice from a qualified healthcare professional.
10.4
Products sold through the Website must be stored and used in accordance with the instructions provided on the product packaging.
Better Nutrition shall not be liable for any damage resulting from improper storage, misuse, failure to follow the instructions for use or use after the product's stated expiry date.
Nothing in this Section limits any mandatory rights available to consumers under applicable law.
11. Disclaimer
11.1
While Better Nutrition makes reasonable efforts to ensure that the information published on the Website is accurate, errors relating to product descriptions, specifications, pricing, availability or other content may occasionally occur.
We reserve the right to correct such errors and to update or amend the Website at any time without prior notice.
11.2
Product images, illustrations and packaging displayed on the Website are intended for illustrative purposes only.
Actual products and packaging may differ slightly without affecting the nature, quality or functionality of the products.
11.3
The Website may contain links to third-party websites or services.
Such links are provided solely for your convenience. Better Nutrition has no control over and accepts no responsibility for the content, availability or privacy practices of third-party websites.
Your use of third-party websites is entirely at your own risk.
12. Intellectual Property
12.1
The Website and all content made available through it, including text, graphics, photographs, product names, trademarks, logos, designs, software and other intellectual property rights, are owned by or licensed to Better Nutrition unless otherwise stated.
12.2
Nothing in these Terms grants you any ownership rights or licence to use any intellectual property belonging to Better Nutrition except as necessary for your personal use of the Website and the purchase of products.
12.3
You may not reproduce, distribute, modify, publish, create derivative works from or otherwise exploit any content from the Website without our prior written consent.
12.4
The name "Sanuray", associated logos and all related branding are the property of Better Nutrition ApS and may not be used without prior written permission.
13. Force Majeure
13.1
Better Nutrition shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, floods, fire, pandemics, war, terrorism, civil unrest, governmental actions, strikes, labour disputes, transport disruptions, interruptions in telecommunications, power failures or shortages of materials.
Where such circumstances prevent or materially delay the performance of our obligations, the affected obligations shall be suspended for the duration of the event.
14. Governing Law and Dispute Resolution
14.1
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Denmark.
Nothing in these Terms limits or excludes any mandatory consumer protection rights available to you under the laws of your country of residence within the European Union.
14.2
If you have a complaint regarding a product or your purchase, we encourage you to contact us first at support@sanuray.com so that we may attempt to resolve the matter amicably.
14.3
If a dispute cannot be resolved directly with us, you may be entitled to submit the dispute to the competent consumer dispute resolution body in your country of residence or through the European Online Dispute Resolution platform where applicable.
Nothing in this Section limits your right to bring proceedings before a competent court in accordance with applicable law.
15. Changes to the Terms
15.1
Better Nutrition reserves the right to amend these Terms from time to time.
Any amendments will be published on the Website and will apply only to orders placed after the updated Terms have become effective.
15.2
The version of the Terms published on the Website at the time your order is placed shall apply to that order.
16. Termination
16.1
Better Nutrition reserves the right to suspend or terminate access to the Website or any customer account where we reasonably believe that these Terms have been breached, fraudulent activity has occurred or applicable law requires such action.
Termination shall not affect any rights or obligations accrued prior to the date of termination.
17. Severability
17.1
If any provision of these Terms is held to be invalid, unlawful or unenforceable by a competent court or authority, that provision shall be deemed severed from the remaining Terms, which shall remain in full force and effect.
18. Assignment
18.1
Better Nutrition may assign or transfer its rights and obligations under these Terms without your consent, provided that such assignment does not adversely affect your statutory rights.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
19. Entire Agreement
19.1
These Terms, together with our Privacy Policy and any Order Confirmation issued by Better Nutrition, constitute the entire agreement between you and us relating to your purchase of products through the Website and supersede all prior discussions, correspondence and agreements relating to the same subject matter.
